Company officers (director, PSC or shareholders) can either be a natural person (human beings) or artificial legal persons (companies). We have a legal obligation to identify and verify both person officers and corporate officers.
Where the company officer is a legal person, trust, company, foundation or similar, we must take reasonable measures to understand and look through the ownership and company structures until we have established the individuals who are the ultimate beneficial owners.
If we have exhausted all means of identifying the beneficial owner, we must take all responsible steps to verify the identity of the most senior person.
Documentation
For Corporate Officers, we require two or more of the following evidence:
- Certificate of Incorporation;
- Certificate of Good Standing or Incumbency;
- Memorandum and Articles of Association;
- Official evidence of registered address, for example, Extract of Trade Register;
- Register of Directors and Beneficial Owners;
- Ownership or Control Structure
Corporate Information
The document/s must contain the following information:
- Full name of the company;
- Company registration number;
- Registered address and principal place of business;
- Country of incorporation;
- Ownership and control structure of the entity
Directors and Beneficial Owners
Once we have identified who the beneficial owner/s are, we will invite them to complete an electronic ID check to verify their identity.
