Under section 5 of the Companies Act 2006, new companies cannot be formed as a company limited by guarantee with a share capital; this therefore makes this type of company unsuitable to become a "commercial enterprise".
Simple Tip: A "commercial enterprise" is a company that has a profit motive. Commerce is normally consideed a large scale operation which would therefore involve the exchange of a large amount of goods/ services and/ or money.
